Terms of Service

These terms govern access to and use of the PharmaNet platform by pharmacies and their staff. By creating an account or using the service, you agree to them.

1. Agreement to these terms

PharmaNet ("PharmaNet", "we", "us") is operated by [legal entity name]. These Terms of Service ("Terms") form a binding agreement between us and the pharmacy that registers an account ("you"). If you use PharmaNet on behalf of a pharmacy, you confirm you are authorised to bind that pharmacy to these Terms.

2. Who can use PharmaNet

PharmaNet is intended for licensed pharmacies and their authorised staff. You are responsible for holding, and keeping current, all licences and registrations required to operate and to buy, sell, hold, transfer, and dispense medicines in your jurisdiction. We may request verification and may decline, suspend, or limit accounts at our discretion.

3. Accounts, staff and roles

  • The pharmacy that registers is the account owner and is responsible for all activity under the account, including that of staff it adds.
  • You are responsible for the accuracy of the information you provide, for assigning appropriate roles, and for deactivating staff who should no longer have access.
  • Keep credentials confidential. Notify us promptly of any suspected unauthorised access.

4. Verification

Certain features (including the marketplace, requests, referrals, and wallet) may be available only to pharmacies we have verified. Verification is a trust signal, not a guarantee of any pharmacy's conduct, licensing, or the quality of any goods. You are responsible for your own due diligence on any counterparty.

5. Your content and listings

  • You are responsible for the accuracy of your inventory, product, pricing, batch, and expiry information, and for any listing you create.
  • Only list stock you are lawfully entitled to transfer, described truthfully, including its true expiry and condition.
  • You must not list expired, recalled, counterfeit, adulterated, or otherwise unlawful products, or misrepresent any item.

6. Transfers between pharmacies

PharmaNet is a coordination platform that helps pharmacies discover, request, and arrange transfers of stock. We are not a party to any sale, transfer, or referral between pharmacies, and we do not take title to, handle, ship, or dispense any goods.

  • Each party is solely responsible for ensuring any transfer complies with applicable law, including record-keeping, cold-chain, and controlled-substance requirements.
  • Physical handover, transport, and confirmation of goods are arranged between the pharmacies involved.
  • You are responsible for confirming a counterparty's eligibility to buy or receive a given product.

7. Payments and escrow

Unless stated otherwise in the product, payments between pharmacies settle directly between them (for example by bank transfer or mobile money). PharmaNet records and helps coordinate these payments and any escrow-style handshake, but is not a bank, payment processor, or escrow agent, and does not hold customer funds. Any wallet balances shown are a record of transactions, not a deposit account. You are responsible for your own taxes and for reconciling payments received.

8. Acceptable use

  • Don't use PharmaNet for anything unlawful, or to deal in prohibited, counterfeit, diverted, or misrepresented products.
  • Don't attempt to access accounts or data that aren't yours, disrupt the service, or scrape or misuse other pharmacies' information.
  • Don't misuse patient or member information obtained through the platform.

9. No medical or professional advice

PharmaNet does not provide medical, pharmaceutical, legal, or regulatory advice. Clinical and dispensing decisions, and compliance decisions, remain the professional responsibility of the pharmacy and its licensed staff.

10. Intellectual property

The PharmaNet platform, including its software, design, and branding, belongs to us or our licensors. You retain rights to the data you submit; you grant us the limited rights needed to operate and improve the service and to enable transfers you initiate.

11. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind to the extent permitted by law. We do not warrant that the service will be uninterrupted or error-free, or that any listing, counterparty, or transfer will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, PharmaNet will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, goodwill, or data, or for the acts, omissions, products, or payments of any pharmacy or third party. Nothing limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify PharmaNet against claims arising from your use of the service, your listings or transfers, your handling of patient or member data, or your breach of these Terms or of applicable law.

14. Suspension and termination

You may stop using PharmaNet at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the platform or other pharmacies.

15. Changes

We may update the service and these Terms. We will update the "last updated" date and, where appropriate, provide notice. Continued use after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of [governing-law jurisdiction], and disputes are subject to the courts of [jurisdiction], without regard to conflict-of-laws rules.
